Job summary

Vela Wood is seeking a Senior Paralegal to join our Dallas or Austin office, providing pivotal paralegal support in a fast-paced, collaborative environment. The role focuses on corporate governance, document drafting, and closing coordination, with direct interaction with clients and attorneys.

You will manage entity formations, maintain governance documents, handle registrations, and assist with cap table management systems such as Carta and Pulley.

Qualifications

• Seven plus years of experience as a paralegal working on corporate matters.
• Extensive experience in document drafting and management.
• High level of attention to detail and accuracy.
• Strong communication skills – can interact effectively with clients and colleagues.
• Natural collaborator who works well with other team members to ensure seamless workflow and project coordination.
• Knowledge of Carta, Pulley, and other cap table management systems.
• Experience training legal assistants and paralegal staff.

Responsibilities

• Coordinate formation data with clients and draft governance documents.
• Submit SOS filings and related forms across states via online platforms or mail.
• Draft and manage closing documents, signatures, and investor cap table updates.
• Generate trackers, track consent thresholds, and e-file amendments as needed.
• Assist with document management, cloud platforms, and integration with Outlook/Litera Compare.
• Draft company resolutions and governance documents; coordinate board approvals.
• Attend board meetings and draft meeting minutes.
• Assist with Reg D and Blue Sky filings.
