Job summary

Saronic Technologies is seeking a Senior Corporate Counsel to drive M&A and strategic transactions. You will be the legal point of contact for acquisitions, investments, and joint ventures, guiding them from initial discussions through integration with the Corporate Development team.

This is a builder role on the Corporate & Securities team, supporting financings, equity, governance, and entity management. You will close deals on tight timelines and create playbooks for faster future

Qualifications

Juris Doctor from an accredited law school and active bar license in the United States.
8+ years of corporate and transactional experience, with significant M&A exposure.
Proven track record leading end-to-end M&A deals from LOI to close and integration.
Strong knowledge of private company equity, venture financings and governance.

Responsibilities

Lead M&A and strategic transactions, including acquisitions, investments and joint ventures.
Draft and negotiate NDAs, LOIs, term sheets, and definitive agreements.
Manage diligence, data room, and coordination with subject-matter experts.
Support financings, equity issuances, governance and entity management.
Partner with cross-functional teams and translate risk into actionable business advice.
