Qualifications

• Qualified lawyer with 15+ years PQE.
• Senior in-house experience with corporate/commercial focus.
• Experience in scale-up, venture-backed or private equity-backed businesses.
• Extensive experience negotiating complex commercial contracts.
• Strong exposure to Board, investors and senior stakeholders.
• Knowledge of governance, company law, capital structures and shareholder arrangements.
• Understanding of technology, SaaS, IP, data protection and cross-border data issues.
• Pragmatic, commercial and solutions-focused with risk awareness.

Responsibilities

• Act as trusted adviser to the Board, investors and senior leadership.
• Draft, review and negotiate complex commercial contracts and partnerships.
• Advise on SaaS licensing, IP, data and technology matters.
• Support data-sharing, data-licensing and cross-border data issues.
• Advise on governance, company law and shareholder matters.
• Support fundraising, investment, sale processes or other corporate activity.
• Provide leadership for a small legal team and day-to-day delivery.
• Develop practical legal processes, templates and guidance for scaling the business.
