Senior Legal Counsel - Commercial (South)

PURPOSE AND OBJECTIVE

SAP is seeking an experienced Senior Legal Counsel to join our Field Legal Organization in the Americas region. As a member of the North America Field Legal Team, you will provide legal support to SAP and our business teams, particularly SAP’s sales and business teams in the Southern United States, the South Market Unit. Your primary responsibilities will entail drafting and negotiating complex technology cloud services, licenses, and related agreements, supporting SAP’s business growth strategies while adhering to risk management policies and compliance.

You will serve as the main legal contact for sales and business teams, offering advice on cloud agreements and other legal matters such as contract strategy, data privacy, AI, cybersecurity, IP, and license compliance. The role may also support other areas like marketing, licensing, bankruptcy, and procurement.

You should demonstrate the ability to draft and negotiate complex agreements, collaborating with SAP’s Commercial Business Partners and Finance teams, and working in a dynamic environment. Experience in the cloud (SaaS) sector is strongly preferred.

Key responsibilities include:

  • Structuring, drafting, redlining, and negotiating complex customer agreements, including cloud, licensing, professional services, and data processing agreements.
  • Collaborating with sales, pricing, revenue recognition, and deal support teams.
  • Serving as an escalation point for legal and contractual issues.
  • Supporting SAP’s business goals by balancing legal risks with commercial objectives.
  • Identifying contractual risks and proposing solutions, working cross-functionally to ensure compliance.
  • Managing legal matters related to privacy, security, IP, dispute resolution, and templates.
  • Supporting special projects as assigned.

EDUCATION & SKILLS

  • Juris Doctor from an A.B.A. accredited law school.
  • Over 7 years of relevant legal experience in cloud and tech sectors.
  • Expertise in negotiating cloud agreements, focusing on privacy, security, AI, compliance, and liability clauses.
  • Experience advising sales teams.
  • Strong interpersonal, leadership, and communication skills.
  • Active membership in at least one state bar.

LOCATION

  • Hybrid work model with at least three days onsite near an SAP office, preferably in Atlanta, Newtown Square, or Chicago.
