Base pay range

$150,000.00/yr - $250,000.00/yr

About the Role:

We are seeking a Senior Legal Counsel to join our growing team. The ideal candidate will be leading legal support across the organization with a primary focus on legal and regulatory compliance; drafting, reviewing, negotiating and managing project development contracts; and financing transactions for DG projects including but not limited to tax equity financing transactions.

Responsibilities:

• Create, review, edit and manage the legal documents of the organization, which shall include negotiation and execution of the same.
• Oversee compliance with applicable laws and regulations and conduct legal research and analysis to stay current on changes that may impact the company and its subsidiaries.
• Maintain the corporate organizational documents of the company and any of its affiliates and subsidiaries to ensure they are updated and meet any contractual or legal requirements. Coordinate the drafting and filing of any required organizational meeting minutes.
• Draft and negotiate other miscellaneous commercial contracts including services agreement, joint venture agreements, consulting agreements, development services agreement, non-disclosure agreements, etc.
• Collaborate regularly with other members of the legal team to help solve issues on their deals and contracts.
• Support project development by determining legal requirements needed for each, reviewing and drafting project documents, supporting permitting and licensing efforts and assisting in the overall development strategy and negotiation.
• Review, engage and manage outside counsel as necessary in the execution of primary functions.
• Provide legal support on company compliance issues and provide training on the same.
• Senior Counsel will operate under the supervision of General Counsel but will be expected to work independently and exercise judgment with opportunity for growth.
• The position may exercise supervisory responsibility over one or more employees within the Legal department as and when requested.

Qualifications:

• Juris Doctor (JD) Degree from an accredited law school
• Licensed to practice law in the United States.
• 12+ years of relevant work experience in project development and financing required.
