Job summary
CVS Health Corporation is seeking a Managing Senior Legal Counsel, Compensation & Benefits to join the Compensation & Benefits Legal Team within Corporate Affairs. You will provide strategic legal counsel on health and welfare plans, retirement programs, and executive compensation, guiding governance, compliance, and fiduciary duties.

Qualifications
- Admitted to practice law in at least one state.
- 10+ years advising on employee benefits and executive compensation matters.
- Experience with ERISA, IRC, ACA, HIPAA, COBRA and 409A.
- Strong drafting, negotiation, analytical skills.
- Ability to communicate complex legal concepts to business stakeholders.
- Ability to manage multiple priorities in a fast-paced environment.
Responsibilities
- Health and Welfare Benefits: provide legal counsel regarding design, implementation, governance of health and welfare plans.
- Retirement Plans: support administration and governance of defined contribution programs.
- Executive Compensation: counsel on incentive programs, equity awards, deferred comp, severance plans.
- Mergers & Acquisitions: advise on employee benefits and exec comp in transactions.
- Compliance & Governance: support audits, Form 5500 filings, fiduciary governance.
