Job summary

Arena Staffing partners with a confidential, established technology company in Orange County, CA, hiring a Senior Corporate Counsel to join its in-house legal team. This on-site role requires five days per week in Orange County and focuses on high-level commercial agreements and strategic legal guidance.

The ideal candidate has 7+ years of relevant experience, a J.D., active State Bar membership, and a track record of drafting and negotiating sophisticated contracts.

Qualifications

• J.D. from an accredited law school.
• Active membership in good standing in at least one U.S. State Bar.
• 7+ years of relevant legal experience.
• Significant experience drafting, reviewing, and negotiating sophisticated commercial agreements.
• End-to-end ownership of contracts and legal matters.
• Business counseling with cross-functional stakeholders.
• Experience in technology or regulated environments.
• Experience with legal technology and CLM systems.
• Clear communication with executives and non-lawyers.
• Willingness to work five days per week onsite in Orange County, CA.

Responsibilities

• Draft, review, negotiate, and manage commercial agreements involving software, SaaS, and data.
• Manage contract matters from intake through drafting, negotiation, risk escalation, and execution.
• Advise business leaders on practical legal and commercial issues.
• Support legal matters involving privacy, data security, and regulatory compliance.
• Support strategic initiatives, product launches, and partnerships.
• Negotiate enterprise customer and data-related agreements.
• Provide guidance on IP, governance, and risk management.
• Develop templates, playbooks, and CLM workflows.
• Coordinate with outside counsel when necessary.
