Arena Staffing has partnered with a confidential, established technology company in Orange County that is hiring a Senior Corporate Counsel to join its in-house legal team.

The position is onsite five days per week in Orange County, California. Candidates must be comfortable with a fully in-office environment.

This is a hands‑on legal role for an experienced attorney who can independently manage sophisticated commercial agreements, advise cross‑functional business teams, and provide practical legal guidance in a fast‑moving, regulated environment.

The ideal candidate will bring 7+ years of relevant legal experience, a J.D., active membership in at least one U.S. State Bar, and significant commercial contract drafting and negotiation experience.

This is not a narrow contract‑review position. The attorney will work across commercial agreements, technology, data, privacy, regulatory matters, business operations, strategic initiatives, corporate matters, and legal‑process improvement.

Role Snapshot

The Senior Commercial & Corporate Counsel will serve as one of the company’s primary legal advisors and partner closely with the General Counsel and broader business.

The attorney will be expected to independently evaluate legal and business risk, communicate clearly with non‑lawyers, move matters forward efficiently, and provide practical solutions rather than simply identifying legal issues.

The right candidate will be commercially minded, responsive, confident, detail‑oriented, and comfortable operating in an environment where priorities can move quickly.

What You Will Own

• Draft, review, negotiate, and manage commercial agreements involving software, SaaS, technology, vendors, data, licensing, services, confidentiality, and other business relationships.
• Manage contract matters from initial intake through drafting, negotiation, stakeholder alignment, risk escalation, approval, and execution.
• Advise business leaders on practical legal and commercial issues.
• Support legal matters involving technology, privacy, data security, data use, vendor obligations, regulatory compliance, and operational risk.
• Support strategic business initiatives, product launches, partnerships, and technology development.
• Negotiate enterprise customer agreements, strategic partnerships, reseller arrangements, and data‑related agreements.
• Provide legal guidance regarding consumer‑facing products, advertising and marketing, intellectual property, corporate governance, and risk management as matters arise.
• Assist with corporate records, internal policies, governance matters, and other corporate legal needs.
• Coordinate with outside counsel on specialized legal matters when necessary.
• Monitor relevant legal and regulatory developments and translate them into practical guidance for business stakeholders.
• Develop and improve contract templates, playbooks, clause libraries, workflows, and scalable legal processes.
• Help optimize contract‑management systems, AI‑assisted legal tools, workflow technology, and legal department efficiency.

Must‑Have Requirements

• Juris Doctor: J.D. from an accredited law school.
• Active Bar Membership: Active membership in good standing in at least one U.S. State Bar.
• Legal Experience: Minimum 7+ years of relevant legal experience.
• Commercial Contracting: Significant experience drafting, reviewing, and negotiating sophisticated commercial agreements.
• End‑to‑End Ownership: Ability to independently manage contracts and legal matters from intake through execution.
• Business Counseling: Experience advising cross‑functional business stakeholders and providing practical, commercially oriented legal advice.
• Technology or Regulated Environment: Experience supporting a technology company, regulated business, or similarly complex operating environment.
• Legal Technology: Experience using contract‑management software, CLM systems, legal operations tools, or comparable legal technology.
• Communication: Ability to clearly explain complex legal issues to executives and non‑lawyers.
• On‑Site Commitment: Must be willing and able to work five days per week onsite in Orange County, CA.

Preferred Experience

• Prior in‑house corporate legal experience.
• Experience at a highly regarded law firm.
• Financial technology, financial services, SaaS, technology, data, consumer products, or another regulated‑industry background.
• Enterprise software or SaaS contracting experience.
• Strategic partnerships, reseller agreements, or data licensing experience.
• Corporate governance exposure.
• Experience with contract lifecycle management systems.
• Legal operations or legal department process‑improvement experience.
• AI‑assisted contract review, legal automation, or AI‑enabled legal technology experience.
• California legal experience.

The Type of Attorney Who Will Succeed

This role is best suited for an attorney who is hands‑on and execution‑oriented.

You should be comfortable independently taking ownership of matters while also working closely with and taking direction from the General Counsel. Strong candidates will know how to identify meaningful legal risk without creating unnecessary obstacles for the business.

The hiring team is looking for someone who is prepared, engaged, commercially minded, responsive, and genuinely interested in understanding the company’s business.

• This is not a hybrid or remote position.
• Primarily standard business hours, with occasional additional availability around deadlines or significant business matters.

• Base salary: Approximately $240,000 + Bonus
