Job summary

The Vanguard Group in Malvern is seeking a seasoned Associate General Counsel to support the governance and corporate secretary function for the Vanguard Funds Board of Trustees, its committees, and related Vanguard fund boards. You will advise on governance matters and fiduciary duties for trustees, directors, and senior executives.

Qualifications

• Minimum ten years of related legal experience with governance or fiduciary matters.
• Strong knowledge of governance practices and board processes.
• Ability to advise trustees, directors and senior executives on complex matters.

Responsibilities

• Acts as strategic legal advisor on corporate governance for boards and committees.
• Hires, evaluates and supervises crew with compensation oversight.
• Provides training to develop crew and sets performance standards.
• Supports Vanguard Funds Board governance including materials, minutes and calendars.
• Collaborates with compliance, risk and product teams to ensure clear information for boards.
• Reviews governance documents with attention to accuracy and confidentiality.
• Monitors regulatory developments and advises internal stakeholders on impact.
• Provides legal counsel to business leaders on governance matters.
• Directs work with outside counsel and stays knowledgeable about industry trends.
• Participates in special projects and other duties as assigned.
