Job summary

The Vanguard Group is seeking an experienced attorney to join its Office of the General Counsel, focusing on the Investment Company Act of 1940 and related regulatory matters. You will advise on fund formation, governance, and regulatory compliance while shaping product strategy and collaborating with business leaders.

You will draft and negotiate a wide range of fund-related documents, monitor legislation, and supervise outside counsel on complex matters.

Qualifications

• Strong working knowledge of SEC regulations, fund governance, and disclosure obligations.
• Experience with Investment Company Act of 1940 and fund-related matters.
• Ability to draft and negotiate complex regulatory documents.

Responsibilities

• Advise on the Investment Company Act of 1940 and related rules impacting Vanguard’s funds and activities.
• Draft and negotiate registration statements, notices, filings, and fund documents.
• Monitor regulatory developments and implement necessary updates.
• Represent Vanguard with third parties including agencies such as the SEC.
• Direct outside counsel on complex fund-related matters.
• Maintain deep expertise in registered funds and industry best practices.
• Mentor junior attorneys and contribute to a collaborative team.
• Participate in special projects and other duties as assigned.
