Qualifications

• Master’s degree or foreign equivalent in law or a related field.
• 5 years of experience in a similar role or related occupation.

Responsibilities

• Advise & assist clients on structuring & establishing new U.S. & non-U.S. investment funds, managed accounts & other investment vehicles and entities, including conduit/access funds, general partners, investment managers & investment advisers.
• Draft, negotiate & document governing documents, offering materials, subscription materials, investment management agreements, and placement agent agreements.
• Assist clients in carried interest & long‑term incentive plan structures and drafting related documentation.
• Assist clients with legal & regulatory compliance, including securities law filings.
• Advise international institutional investors on investments in private equity, real estate, debt/credit & venture capital; negotiate fund & subscription materials for such investments.
• Draft, negotiate & document secondary market transactions, including continuation funds.
• Negotiate & document other client agreements to meet legal & business requirements.
• Telecommuting or work‑from‑home permissible; when on site, report to the worksite.
