Job summary

Page Executive is seeking an Associate General Counsel to lead sophisticated real estate and investment funds work, including tax-structuring and multi-investor transactions, with a remote-first team in the United States.

The successful candidate will manage closings, liaise with Investor Relations and outside counsel, and handle fund documentation, transfer requests, and regulatory considerations.

Qualifications

• Juris Doctor or equivalent from an accredited law school.
• US State Bar membership in good standing.
• 6+ years in top law firm or corporate legal department handling investment funds, tax law, securities, and LLC/LP structures.
• Experience with commercial real estate development and financing, especially affordable housing and federal LIHTC.
• Familiarity with government programs related to affordable housing is a plus.

Responsibilities

• Advise on transactional matters involving multi-investor and proprietary funds, preparing fund agreements and closing documents.
• Coordinate fund closings with Investor Relations and oversee outside counsel.
• Oversee paralegal preparation of closing certificates and documents.
• Draft and review post-closing investment approvals and coordinate fund-to-project investments.
• Negotiate fund-level debt facilities (bridge loans, warehouse lines) and related documents.
• Handle investor transfer requests and due diligence.
• Advise on tax and structural considerations for new funds and business initiatives.
• Review fund agreements and investor side letters for consent rights.
