Job summary

Qualifications

• Ten years of related legal experience with corporate governance and board advisory matters.
• Strong knowledge of governance practices, fiduciary obligations, and corporate law.
• Experience with regulated industries and investment products preferred.
• Ability to manage senior stakeholder relationships and exercise sound judgment.

Responsibilities

• Serve as a strategic legal advisor on corporate governance matters for trustees, directors, and executives.
• Hire, evaluate, supervise, and set performance standards where applicable.
• Support governance and corporate secretary functions for Vanguard Funds Board and related boards.
• Collaborate with fund product, compliance, risk, and business teams to provide clear, actionable information.
• Monitor legislative and regulatory developments and advise stakeholders on impact.
• Lead special projects and coordinate with outside counsel as needed.
• Maintain knowledge of applicable law and industry trends to support governance excellence.
• Provide guidance and oversight on governance documents, materials, and board materials.
