Job summary

Aligned Talent Acquisition is seeking an ESOP Transactions & Services Associate Attorney for its Chicago office, offering an AmLaw 100 opportunity with substantial client interaction and leadership in ESOP matters.

The ideal candidate has 3+ years’ experience in ESOP transactions and related areas, a J.D. from an ABA-accredited law school, and Illinois bar admission or eligibility. Compensation ranges from $235,000 to $375,000+ per year.

Qualifications

• 3+ years of ESOP transactions, employee benefits, executive compensation, tax, corporate, or finance matters at a sophisticated law firm
• Experience advising clients on Employee Stock Ownership Plans (ESOPs) and related transactional matters
• Experience drafting and negotiating transactional documents, corporate agreements, financing documents, and related legal documentation
• Experience advising clients regarding ERISA, Internal Revenue Code, corporate governance, and fiduciary matters is preferred
• Experience representing companies, trustees, lenders, or shareholders in sophisticated transactions is a plus

Responsibilities

• Represent clients in complex ESOP transactions and related corporate matters
• Advise on ESOP formations, acquisitions, recapitalizations, financing transactions, and ownership transitions
• Draft and negotiate transactional documents and financing agreements
• Maintain significant client interaction and manage sophisticated transactions independently
