SpaceXAI in Memphis, TN, is hiring a Commercial Counsel to support complex infrastructure transactions and development projects. You will handle strategic negotiations, balance legal and business needs, and work with engineering and finance teams in a fast-paced environment.

The role requires a JD, US bar membership, and 5+ years in relevant roles, with a commitment to in-office work five days a week.

Qualifications

• 5+ years of legal experience in tech or development companies or top law firms.
• Deep experience in commercial contracting for large-scale infrastructure projects.
• Proven ability to manage heavy workload and meet aggressive timelines.
• Interest or familiarity with datacenters, power, and emerging AI tech.
• Strong ownership, curiosity, sound judgment in high-stakes situations.
• Must be in-office 5 days/week.

Responsibilities

• Lead negotiation and structuring of development deals and major procurements.
• Negotiate power-related contracts and regulatory matters for hyperscale deployments.
• Draft, review, and negotiate construction and design-build documents.
• Support project finance elements and tax incentives.
• Coordinate with engineering, security, procurement, and finance teams.
