SpaceXAI in Palo Alto / Memphis / Seattle / Austin seeks an Energy & Infrastructure Counsel to lead negotiations on development deals and procurement for massive infrastructure projects. You will draft, review, and negotiate complex contracts across real estate, construction, power, and financing, while coordinating with cross-functional teams in a fast-paced environment.

The role requires a JD, active U.S. bar, 5+ years in relevant sectors, and a commitment to in-office work five days a week.

Qualifications

• 5+ years of legal experience in tech or development sectors.
• Experience in commercial contracting for large-scale infrastructure.
• Ability to manage heavy workload and meet aggressive timelines.
• Interest in data centers, power, and AI tech.
• Ownership, accountability, and sound judgment in high-stakes situations.
• Enthusiasm for technology and continuous challenges.
• JD from an accredited law school; active U.S. state bar admission.
• Willingness to work in-office 5 days/week.

Responsibilities

• Lead negotiation and structuring of development deals, real estate transactions, and procurement.
• Negotiate and manage power-related contracts and PPAs.
• Draft and negotiate construction contracts and related project documents.
• Support financing structures, tax incentives, leases, permitting, and project finance elements.
• Collaborate with engineering, security, procurement, business development, and finance teams.
• Coordinate with outside counsel while maintaining in-house oversight.
• Contribute to broader data center initiatives.
• Be versatile and responsive, ready to pitch in on unfamiliar tasks.
• Maintain humor, humility, and a team mentality.
