Job summary

Greystar is seeking a Senior Director, Transaction Counsel to support its credit origination and capital markets teams in complex real estate debt transactions. This attorney will advise on risk, coordinate closings, and manage collateral and compliance matters.

Responsibilities span from structuring and negotiating term sheets to post-closing activities, with collaboration across investment and corporate teams and external counsel.

Qualifications

• 10+ years of experience in lending, CRE investments, or real estate debt.
• Strong knowledge of CRE loan documentation and related structures.
• Excellent negotiation and advisory skills in complex debt transactions.

Responsibilities

• Advise origination teams on legal risk during term sheet and loan document negotiations.
• Manage loan closing processes, including review of title commitments and environmental reports.
• Support post-closing and leverage processes, reviewing assignment docs and collateral representations.
• Coordinate CLO closings and note splits, ensuring compliance with facility requirements.
• Coordinate entity formation with investment and legal teams and external counsel.
• Mentor junior team members on legal matters and best practices.
