Atlantic Union Bank seeks a Senior Principal - Legal Counsel (Corporate & Securities) to advise on securities law, public reporting and corporate governance. The role partners with senior leadership to ensure best-in-class disclosure and compliance practices across the organization.

Responsibilities include drafting major filings, supporting governance activities, and guiding strategic transactions while leveraging experience in the financial services sector.

Qualifications

• Bachelor's degree required and J.D. from an accredited law school
• 8+ years experience in securities law and public company reporting
• Licensed attorney in MD/VA/NC or eligible for reciprocity
• Financial services experience preferred

Responsibilities

• Advise on securities law compliance and public filings
• Draft and review Form 10-K/10-Q/8-K and proxy statements
• Support governance through board materials and resolutions
• Assist with M&A and capital markets transactions
• Provide guidance on regulatory and corporate risk
