Job summary

A fast-growing U.S. renewable energy company seeks a Senior Counsel – Project Finance to join its legal team. You will own and negotiate debt financings, tax equity investments, and other complex transactions shaping a growing portfolio of solar and energy storage projects.

You will collaborate with senior leadership and cross-functional teams in a lean environment, manage external advisers, and drive structures from structuring through closing while ensuring project bankability and compliance.

Qualifications

• Active license to practise in at least one U.S. jurisdiction.
• 5+ years of renewable energy project finance experience.
• Experience leading construction and term debt financing transactions.
• Experience with tax equity financing and transferable tax credits.
• In-depth knowledge of project finance structures and commercial agreements.
• Ability to manage complex transactions from structuring through closing.

Responsibilities

• Lead and execute complex renewable energy project financings, including construction loans and term debt.
• Draft, negotiate and review credit agreements, security documents, guarantees and related financing contracts.
• Structure and negotiate tax equity investments and related tax credit arrangements.
• Advise on ITCs and PTCs and renewable energy incentives.
• Review EPC, O&M, interconnection and PPA agreements for bankability.
• Coordinate due diligence, closings, and manage external advisers.
• Advise on financing structures, joint ventures, SPVs and ongoing compliance.
• Collaborate with Finance, Development, Construction and leadership to close transactions.
