Job summary

PTMA Financial Solutions, Naperville, IL, seeks an experienced attorney to support the Investment Advisers Act practice and related public funds matters for a nationwide client base. You will draft and negotiate fund documents, review investment policies, advise on regulatory compliance, and coordinate with outside counsel, auditors, and regulators.

JD and active bar license required; 5–8 years in investment management or financial services preferred.

Qualifications

• J.D. from an accredited law school and active law license.
• 5–8 years of relevant legal experience in law firms, investment advisers, asset managers, or financial institutions.
• Experience with the Investment Company Act, Investment Advisers Act, and related matters.
• Experience drafting and maintaining fund documents, preferably for local government investment pools and programs and Rule 2a-7 or 2a-7-like funds.

Responsibilities

• Draft, review, and negotiate agreements supporting LGIPs and products offered outside of pools (custody, trading, repurchase, tri-party), and fund administration.
• Review client investment management and advisory agreements for separately managed accounts and other non-pool products.
• Maintain a contract inventory and track renewal, termination, and amendment dates for key agreements.
• Provide practical legal advice to portfolio management, client service, operations, and business development teams on matters under the Investment Advisers Act and related SEC rules.
• Coordinate with Compliance on Form ADV, the SEC Marketing Rule, custody, code of ethics, books and records, and other advisory compliance matters.
