Job summary

PTMA Financial Solutions, a Naperville-based firm, seeks a senior legal counsel to support LGIPs, fund documentation, and advisory contracts for public-sector clients. You will draft and review agreements, disclosures, and policies while coordinating with outside counsel and regulators.

Ideal candidates have a J.D., active bar status, and 5–8 years of experience with the Investment Company Act and Advisers Act, with strong writing and communication skills for public-sector service.

Qualifications

• J.D. from an accredited law school and active bar status.
• 5–8 years of relevant legal experience in law firms, advisers, or financial institutions.
• Experience with Investment Company Act and Investment Advisers Act matters.
• Experience drafting and maintaining fund documents for LGIPs and 2a-7 funds.
• Ability to draft and negotiate complex custody, trading, and repurchase agreements.
• Strong written and verbal communication with non-lawyers and public-sector clients.

Responsibilities

• Draft, review, and maintain fund agreements for LGIPs and related programs.
• Prepare information statements, offering documents, and disclosures.
• Draft and review investment policies and operating procedures.
• Prepare board materials and attend meetings as needed.
• Coordinate with outside counsel, auditors, rating agencies on regulatory matters.
• Provide legal advice on Advisers Act compliance and related SEC rules.
• Assist with regulatory examinations and inquiries.
