Job summary

The Trade Desk is seeking an experienced corporate attorney to join our legal team in the United States. You will serve as a trusted advisor on complex corporate, securities, and transactional matters, including M&A and financings, working closely with Corporate Development, Finance, and Investor Relations.

Candidates have 8+ years in‑house or at a top firm, NY or CA bar admission, a JD from a top US law school, and a proven ability to lead negotiations, manage outside counsel, and scale legal

Qualifications

• 8+ years in‑house or a combination with a top law firm.
• Admitted to practice in New York or California or eligible for In‑House Counsel status.
• JD from a top U.S. law school.
• Experience in corporate, securities, and transactional matters including M&A and financings.
• Experience with post‑merger integration and scaling legal processes is a plus.
• Ability to partner with senior leaders on complex, fast‑moving transactions.
• Strong drafting, reviewing, and negotiating corporate and commercial tech agreements.
• Balance legal risk with business objectives and communicate clearly to non‑legal stakeholders.

Responsibilities

• Advise on corporate and securities matters for a public company, including SEC filings.
• Lead and support M&A and related financings from diligence through closing and integration.
• Draft, negotiate, and manage definitive agreements and coordinate outside counsel.
• Partner with Investor Relations, Equity, and People teams on equity matters and disclosures.
• Structure and negotiate commercial agreements, NDAs, and joint proposals.
• Advise on governance, executive compensation, ESG, and regulatory requirements.
• Monitor legislative developments and provide risk/compliance guidance.
