Job summary

The Trade Desk in Los Angeles, CA seeks an experienced corporate attorney to counsel cross‑functional teams on complex securities, M&A and transactional matters, with a strong focus on strategic risk and business objectives.

You will lead negotiations, draft definitive agreements, manage outside counsel, and advise on governance, compensation, equity programs, and regulatory compliance while scaling legal processes in a fast‑growing tech environment.

Qualifications

• 8+ years of in‑house experience or equivalent with a top law firm.
• Admitted to practice in New York or California or eligible for in‑house status.
• JD from a top U.S. law school.
• Significant corporate, securities and transactional experience, including M&A and financings.
• Experience with equity compensation and post‑merger integration is a plus.
• Ability to partner with senior leaders and communicate complex concepts clearly.

Responsibilities

• Serve as a trusted legal advisor to Corporate Development, Finance, Investor Relations, Equity, Business Development, and Client Services.
• Advise on corporate and securities law for a public company, including SEC filings and disclosure controls.
• Lead and support M&A, strategic transactions, and related financings from diligence to closing and integration.
• Partner with Investor Relations, Equity, and People on equity-related matters and plan administration.
• Structure, draft, and negotiate a broad range of commercial and strategic agreements.
• Advise on governance, executive compensation, ESG, and regulatory requirements.
• Monitor legislative developments and provide actionable risk guidance.
• Demonstrate leadership within the legal team and promote a collaborative culture.
