• Strong experience advising on investment funds and investment management matters, including the Investment Company Act of 1940.

Responsibilities

• Provide legal advice on establishment, operation and ongoing management of investment funds and investment products, with emphasis on the Investment Company Act of 1940 and related SEC rules and regulations.
• Draft, review and negotiate a broad range of investment management and fund-related agreements, including investment management agreements, fund documentation, distribution arrangements, service provider agreements, side letters and other commercial arrangements.
• Advise investment and business teams on regulatory and legal considerations affecting investment strategies, product development, client relationships and the firm's broader investment management activities.
• Provide guidance on SEC and other applicable regulatory requirements, including registered investment company and investment adviser matters, compliance obligations, disclosures and regulatory developments.
• Partner with Compliance, Operations, Finance, Distribution, Product and Investment teams to identify legal and regulatory risks and develop practical, commercially focused solutions.
• Support a range of corporate, transactional and strategic matters affecting the firm's investment management business as required.

Senior Legal Counsel – Investment Management & Funds

About the Opportunity:

A leading Boston-based investment management firm is seeking a Senior Legal Counsel to join its Legal team and provide sophisticated legal advice across the firm's investment management and fund activities.

This is an excellent opportunity for an attorney with approximately 5–10 years of experience who has developed a strong foundation in investment management, registered funds and financial services regulation and is looking to take on a highly visible, business-facing role within a sophisticated asset management platform.

The successful candidate will work closely with investment professionals, product teams, distribution, operations, compliance and senior management, advising on a broad range of legal and regulatory matters associated with the firm's investment products and business activities.

Key Responsibilities:

• Provide legal advice on the establishment, operation and ongoing management of investment funds and investment products, with a particular emphasis on matters arising under the Investment Company Act of 1940 (the "'40 Act") and related SEC rules and regulations.


• Draft, review and negotiate a broad range of investment management and fund-related agreements, including investment management agreements, fund documentation, distribution arrangements, service provider agreements, side letters and other commercial arrangements.


• Advise investment and business teams on regulatory and legal considerations affecting investment strategies, product development, client relationships and the firm's broader investment management activities.

• Approximately 5–10 years of relevant legal experience, ideally gained at a leading law firm, investment manager, asset manager, fund platform or other sophisticated financial services organisation.


• Strong experience advising on investment funds and investment management matters, with meaningful knowledge of the Investment Company Act of 1940 and related SEC rules and regulations.


• Experience with registered investment companies, mutual funds, ETFs or other '40 Act products is highly desirable.

Boston-based candidates are preferred, although the firm may consider exceptional candidates with a strong connection to the Boston investment-management market.
