PNC seeks a Senior Counsel to support its Corporate Governance group, focusing on registered investment advisers, private funds, and related investment management matters. Qualifications

• J.D. from an accredited law school and admission in good standing in at least one U.S. jurisdiction.
• Excellent drafting, analytical, and client counseling skills.
• Experience with Investment Advisers Act of 1940 and advisory/ fund structures is preferred.
• Familiarity with SEC and FINRA regulation is desirable.

Responsabilités

• Serve as legal advisor to registered investment advisers and fund structures under the Advisers Act and related regulations.
• Provide governance, disclosures, regulatory filings, and compliance guidance; prepare and review advisory and sub-advisory agreements.
• Collaborate with compliance, risk, and business leadership to implement policies and procedures.
• Represent PNC in interactions with regulators, external counsel, and investors.
