The role partners with leadership across Finance, HR, Recruiting, Engineering, Operations, and Sales to identify legal risks and align legal strategy with business priorities. Qualifications

• J.D. from an ABA-accredited law school; bar admission in good standing.
• Extensive experience advising on U.S. Government and defense contracts (FAR/DFARS).
• Experience negotiating commercial agreements, MSAs, SLAs, SaaS, and vendor contracts.

Responsibilities

• Provide legal guidance across U.S. Government contracting lifecycle, including negotiations, performance, and closeout.
• Draft, review, and negotiate prime/subcontracts and related arrangements ensuring compliance with FAR/DFARS and flow-downs.
• Advise on regulatory matters including export controls, sanctions, ITAR/EAR, and internal compliance programs.
• Support corporate governance, Board-related activities, M&A, and financing transactions; manage outside counsel.
