Trane Technologies seeks an experienced corporate attorney to advise on governance, securities, finance, and corporate matters for the enterprise and its business units. The role reports to the Vice President and Deputy General Counsel - SEC/Securities Law & Corporate Finance and is based in Davidson, NC.

On-site Monday through Thursday with optional remote Fridays. The ideal candidate has 5+ years of in-house experience, strong knowledge of SEC rules, and a global perspective.

Qualifikationen

• J.D. degree from an accredited US or Canadian law school.
• Licensed and in good standing to practice law in North Carolina, or eligible to practice law as in-house counsel under North Carolina State Bar Rule 5.5(d).
• Minimum of 5 years of related legal experience – 3 years in an in-house role a plus.
• Global experience is essential.
• Knowledge of federal securities laws (Securities Act of 1933 and Exchange Act of 1934) and NYSE rules for listed companies.

Aufgaben

• Provide regular legal advice on corporate governance and disclosures.
• Lead corporate entity management for subsidiaries globally.
• Prepare periodic SEC filings and manage 16 filings and related docs.
• Support sustainability reporting and annual proxy statements.
• Advise Treasury on financing transactions and debt instruments.
• Identify tax exemptions related to stock transfers in partnership with tax.
• Support governance for board and shareholder meetings.
