Qualifications

• JD from an accredited law school.
• Active US state Bar in good standing.
• Minimum 5 years of experience in U.S. and global M&A and complex commercial transactions.
• Experience with global supply chain transactions.
• Experience negotiating with international counterparties.
• Strong drafting, negotiation, and analytical skills.
• Excellent written and verbal communication; ability to simplify complex concepts.
• Professional presence and collaborative teamwork.
• Willingness to travel domestically and internationally.

Responsibilities

• Lead and/or support domestic and international mergers, acquisitions, divestitures, carve-outs, minority investments, collaborations, and joint ventures from diligence to closing.
• Draft, review, and negotiate transaction documents and related agreements.
• Provide legal support for global supply chain and supplier matters.
• Negotiate with counterparties and JV partners in the U.S. and abroad.
• Advise on risk, governance, and execution strategy for transactions.
• Identify opportunities to use AI, automation, and legal tech to improve delivery while preserving confidentiality.
• Coordinate with cross-functional teams and manage outside counsel workstreams.
