Qualifications

• Juris Doctor (JD) from an accredited law school.
• Active Bar admission in at least one U.S. State.
• Minimum 15 years of leadership in negotiation and drafting significant complex commercial agreements and U.S./global M&A.
• Substantial experience in supply chain transactions and global transactions.
• Experience advising senior management on legal and business matters, with strong executive presence.

Responsibilities

• Lead the legal workstream on domestic and international M&A, divestitures, carve-outs, minority investments, collaborations, and JV transactions through all phases.
• Draft, structure, and negotiate a wide range of complex commercial agreements and transaction documents.
• Guide negotiations with counterparties and joint venture partners worldwide.
• Counsel senior management on risk, deal alternatives, governance, and execution strategy; present recommendations to executives.
• Develop templates, playbooks, and precedent libraries to improve speed and quality of execution.
• Oversee outside counsel, budgets, staffing, and quality; ensure sound legal judgment and confidentiality.
