Qualifications

• Requires a bachelor’s degree and Juris DoctorDegree.
• Requires complex organizational and analytical skills.
• Must be a good team player, well organized, and able to identify business-oriented solutions to complex legal problems.

Responsibilities

• Lead or play a key role in filings with the Securities and Exchange Commission, including Form 10-K, 10-Q and 8-K, Form S-3/S-8; proxy statements and 16 filings; ensure compliance with SEC/NYSE rules.
• Advise senior management on disclosure and governance matters; coordinate earnings releases and significant communications.
• Advise the Treasury department on capital markets transactions; support M&A, financings and commercial matters.
