Qualifications

• Ten years of corporate and securities law experience.
• Experience advising public companies on SEC reporting and disclosure obligations.
• Detail-oriented, business-minded attorney capable of advising senior leadership on complex matters.
• Experience supporting governance matters and board interactions.

Responsibilities

• Lead or play a key role in drafting and advising on filings with the Securities and Exchange Commission, including Forms 10-K, 10-Q and 8-K, and related statements.
• Advise senior management on disclosure controls, governance matters and earnings communications.
• Advise Treasury on capital markets transactions, including debt and equity offerings and private placements.
• Provide counsel on day-to-day corporate and commercial matters, including contracts, M&A and joint ventures.
• Guide board and senior management on corporate governance and policy development; oversee legal department operations.
