Job summary

Prologis seeks a Director Transactional Counsel (Energy Solutions) to partner with Energy Solutions businesses on renewable energy projects, including origination, development, and commercial transactions like PPAs and EPCs. The role spans from origination through construction and requires coordinating with multiple internal teams.

You will translate legal requirements into practical business solutions and support site control, risk allocation, and contractual negotiations across projects.

Qualifications

• JD degree from an accredited law school.
• Active bar membership in at least one US jurisdiction.
• 7+ years of legal experience focused on renewable energy project development or commercial energy transactions.

Responsibilities

• Serve as the primary legal partner to the Solar origination team, advising on transaction structure and risk allocation.
• Draft, review, and negotiate PPAs, equipment leases, and related customer-facing agreements for commercial/industrial solar projects.
• Advise on evaluation and structuring of new solar opportunities, identifying legal issues affecting economics, schedule, financing, construction or operations.
• Lead legal support for site control across utility-scale Solar and BESS projects, including leases, licenses, easements and related agreements.
• Coordinate with internal teams to align site-control and entitlement strategies with the broader project structure.
• Review and negotiate EPC agreements and advise on contract interpretation during construction (delays, change orders, milestones).
• Develop and maintain scalable forms, clause libraries, playbooks, and approval frameworks for recurring transactions.
