Job summary

Prologis, a leader in intelligent logistics infrastructure, seeks a Director Transactional Counsel (Energy Solutions) to partner with Solar origination teams on structuring transactions and risk allocation for renewable projects.

You will draft and negotiate PPAs, leases, and related agreements; advise on new solar opportunities; and lead site-control and EPC contracting efforts across utility-scale projects, collaborating with real estate, finance, tax, and regulatory teams.

Qualifications

• JD from an accredited law school and bar in at least one U.S. jurisdiction.
• 7+ years of relevant legal experience in renewable energy projects or commercial energy transactions.
• Experience drafting and negotiating solar PPAs.
• Experience drafting EPC contracts.
• Experience with site control and real estate agreements.
• Knowledge of title, survey, zoning, and interconnection in renewables.

Responsibilities

• Serve as primary legal partner to Solar origination team on transaction structure and risk allocation.
• Draft, review, and negotiate power purchase agreements, equipment leases, and related customer-facing agreements for solar projects.
• Advise on evaluation and structuring of new solar opportunities, identifying legal issues affecting economics, schedule, financing, or operations.
• Lead legal support for site control across utility-scale Solar and BESS projects and manage local counsel as needed.
• Coordinate with internal teams to align site-control strategies with the broader project structure.
• Review and negotiate EPC agreements and advise on contract interpretation during construction.
• Develop and maintain scalable forms, clause libraries, playbooks, and approval frameworks.
