RRD is seeking an experienced contracts attorney to join our team as Assistant General Counsel. You will lead complex client and vendor agreements, and provide strategic legal advice to management while partnering with cross-functional teams.

The role requires a JD and bar admission, a minimum of five years’ experience drafting and negotiating sophisticated commercial agreements, and a proactive, collaborative approach to risk. Competitive compensation and benefits accompany this position.

Qualifications

• Juris Doctor with bar admission in good standing.
• Minimum 5 years drafting and negotiating complex commercial agreements.
• Strong written, verbal and drafting skills for executive audiences.
• Strategic risk assessment and mitigation experience.
• Ability to read and interpret laws and business documents.
• Proactive, collaborative problem-solving in a fast-paced environment.
• Integrity, discretion, and ability to handle confidential information.

Responsibilities

• Structure, draft, negotiate, and analyze complex client and vendor agreements.
• Draft and negotiate commercial technology agreements (SaaS, IP licenses, AI, cloud, outsourcing).
• Advise on data privacy, information security, and regulatory compliance.
• Support healthcare clients with CMS regulations and standards.
