RR Donnelley & Sons (RRD) seeks an experienced contracts attorney to join our team as Assistant General Counsel in Chicago. The role leads complex client contract negotiations and provides strategic legal advice to management, partnering closely with cross-functional internal teams and external clients.

The ideal candidate has a JD, bar admission, at least five years of drafting/negotiating complex commercial agreements, and a proactive, solutions‑oriented approach to risk and business

Qualifications

• JD and bar admission in good standing.
• Minimum 5 years of legal experience in a law firm or corporate setting.
• Experience drafting/negotiating complex commercial agreements.

Responsibilities

• Structure, draft, negotiate, and analyze complex client and vendor agreements.
• Draft and negotiate commercial technology agreements (licenses, SaaS, cloud, AI, outsourcing).
• Advise on data privacy, information security, and regulatory compliance matters.
• Support healthcare clients by leveraging CMS knowledge.
