The attorney will manage significant mergers, acquisitions, and corporate matters, advising clients and coordinating with partners on complex deal work.

Qualifications

• Substantive mergers and acquisitions experience in a law firm or comparable setting.
• Working knowledge of corporate governance, entity formation, and commercial contracting.
• Strong drafting, analytical, negotiation, and transaction management skills.

Responsibilities

• Represent buyers, sellers, investors, and management teams in mergers and acquisitions, joint ventures, and other strategic transactions.
• Draft, review, and negotiate letters of intent, purchase agreements, merger agreements, disclosure schedules, and related documents.
• Conduct and manage legal due diligence across corporate records, contracts, and potential liabilities.
• Coordinate signing and closing processes, including approvals and ancillary agreements.
• Advise on entity formation, governance, equity issuances, restructurings, and general corporate matters.
• Draft and negotiate commercial agreements (services, licensing, consulting, vendor, supply, distribution).
• Assist with debt and equity financing transactions and coordinate with related practice areas.
• Communicate directly with clients, opposing counsel, and advisers throughout the lifecycle.
• Supervise junior attorneys and legal staff as appropriate.
