• Experience with Carta, Shareworks, Pulley.
• Knowledge of capitalization fundamentals and securities law.
• Strong Excel skills and ability to handle confidential information.
• ECA designation or CEP certification is a plus.
• Excellent communication and organizational abilities.

Aufgaben

• Proficiency in client capitalization database (e.g., Carta, Shareworks, Pulley).
• Assist with management and maintenance of capitalization records.
• Aid in drafting and filing federal and blue sky securities filings and notices.
• Support attorneys in the preparation of formation and initial financing documents.
• Corporate records maintenance, including minute books and Board of Directors minutes.
• Assist in the preparation of closing documents and perform post-closing tasks.
• Support deal closings, entity formation, and registration filings for clients.
