Qualifications

• 5+ years of corporate/securities paralegal experience in law firm and in-house
• Direct experience supporting public company SEC filings (10-K/10-Q/8-K) and board portal administration
• Proficiency with Workiva (Wdesk), EDGAR, board portals, DocuSign, Microsoft Office, and Google Workspace
• Familiarity with or eagerness to use generative AI tools to optimize paralegal workflows

Responsibilities

• Board & Governance Administration: Manage meeting calendars, agendas, resolutions, and board portal distributions; draft minutes and consents; maintain corporate records and governance policies.
• SEC Reporting & Equity Compliance: Draft/review and EDGAR submission of Forms 10-K, 10-Q, 8-K; coordinate Annual Proxy Statements; Section 16 filings and ownership tracking.
• Transactions & Corporate Operations: Coordinate closing checklists and post-closing obligations; support equity plan administration; leverage AI tools to generate drafts and summarize diligence; partner with Finance, HR, Investor Relations and outside counsel.
