Job summary

YETI seeks an experienced transactional lawyer to lead corporate and securities matters. The role reports to the SVP, General Counsel & Secretary and covers governance, SEC filings, and transactions for a global company. Remote work is available with HQ travel as needed.

The ideal candidate has a JD from an accredited law school and 3+ years of corporate/securities experience, preferably in-house at a public company. Strong leadership and communication skills are required.

Qualifications

• Experience in corporate and securities regulation.
• Experience advising senior management.

Responsibilities

• Ensure compliance with federal and state securities and corporate laws, plus NYSE policies.
• Prepare and review SEC filings, including periodic and current reports, 16 filings, and proxy statements.
• Advise the board of directors and its committees, and assist with governance matters.
• Manage the annual stockholders meeting timeline and logistics.
• Advise on executive compensation and review disclosure requirements.
• Support corporate transactions, including deal structuring, due diligence, and deal documentation.
• Review press releases and investor presentations for accuracy and compliance.
• Assist with global corporate initiatives and subsidiary management.
• Ensure compliance with credit agreements and related covenants.
• Prepare corporate records, consents, resolutions, certificates, and governing documents.
• Collaborate with finance, accounting, tax, and investor relations across departments.
