Responsibilities

• Ensure SEC regulations and NYSE/public company compliance.
• Prepare and support filings: 10-K, 10-Q, 8-K, proxies, registrations.
• Manage Section 16 filings and corporate governance duties.
• Advise on governance, equity plans, and investor relations matters.
• Support shareholder meetings, proxy materials, and logistics.
• Lead/assist in M&A, capital markets, and other transactions.
• Handle board materials, minutes, resolutions, and subsidiaries.
