The role involves counseling on 1933 Act/1934 Act matters, advising on mergers and acquisitions, corporate governance, and a broad range of business agreements, with opportunities for leadership and mentoring within the team.

Qualifications

• Substantive securities law expertise including 1933 Act and 1934 Act matters and exchange listing standards.

Responsibilities

• Serve as securities and corporate governance counsel for public and private company clients.
• Provide timely, practical counsel on time-sensitive securities matters.
• Assist with public capital markets transactions and private placements.
• Stay current on developments in securities law and regulatory requirements.
• Represent clients on mergers and acquisitions, joint ventures, and other business combinations.
• Draft, review, and negotiate a wide range of commercial contracts and agreements.
• Advise on entity formation, corporate governance, and general business counseling matters.
• Mentor associates and collaborate with the corporate practice team on securities and general matters.
• Manage client relationships and contribute to business development across corporate and securities practices.
