Qualifications

• Bachelor’s degree required; paralegal certificate preferred.
• At least ten years of corporate paralegal experience in law firm or financial institution.
• Strong knowledge of SEC reporting incl. Section 16 filings and Regulation S-K.
• Experience administering insider trading compliance and governance records.
• Ability to work with senior leaders and cross-functional teams with discretion.

Responsibilities

• Coordinate SEC filings, proxy materials, and other disclosures.
• Administer insider trading compliance program.
• Review routine agreements and coordinate approvals.
• Maintain governance records and support Board materials.
• Support disclosures under Reg S-K with Finance and Investor Relations.
• Manage Legal Department operations and budgets.
• Draft minutes for Board and committee meetings.
• Communicate clearly with executives and stakeholders.
