Job summary

Amalgamated Bank seeks a Corporate Paralegal to join its Legal team in New York, NY. The role reports to the Deputy General Counsel and supports SEC disclosures, governance, regulatory compliance, and cross-functional collaboration across Finance, HR, Risk, Investor Relations, and the Board.

Ideal candidates have 10+ years of corporate paralegal or equivalent experience in a law firm or financial institution, with strong knowledge of SEC reporting, governance, and related controls.

Qualifications

• Bachelor’s degree required; paralegal certificate preferred.
• Minimum of ten years of corporate paralegal or equivalent legal experience.
• Advanced knowledge of SEC reporting, Section 16 filings, Regulation S-K, EDGAR processes.

Responsibilities

• Coordinate preparation, review, and filing of SEC reports and disclosures.
• Administer insider trading compliance program and related recordkeeping.
• Review routine agreements and coordinate legal review and execution.
• Maintain governance records and support Board/committee matters.
• Coordinate compliance activities under Regulations O and W.
• Support public-company disclosures with cross-functional partners.
• Manage governance for political activity and requisite filings.
• Oversee Legal Department operations including invoices and budgets.
• Collaborate with stakeholders on legal, governance, regulatory initiatives.
• Identify improvements to processes and technology within the department.
• Prepare minutes for Board and committee meetings.
