Job summary

Amalgamated Bank seeks an experienced Corporate Paralegal to join its Legal team in New York City on a hybrid schedule. The role provides legal, governance, and regulatory support with cross-functional collaboration across Finance, HR, Risk, Investor Relations, and the Board. A minimum of ten years of relevant experience is required.

The starting base salary ranges from $120,000 to $135,000 annually, with a strong emphasis on accuracy, confidentiality, and executive-level communication.

Qualifications

• Bachelor’s degree required; paralegal certificate preferred.
• Ten years of corporate paralegal or equivalent experience in law Firm/financial institution.
• Advanced knowledge of SEC reporting and public-company disclosures.
• Experience administering insider trading compliance processes.
• Strong governance and board support experience.
• Familiarity with banking laws and Regulations O and W.
• Proven ability to manage complex, time-sensitive matters.

Responsibilities

• Coordinate SEC filings, Section 16, proxy materials, and disclosures.
• Administer insider trading compliance program including pre-clearance and blackout periods.
• Review routine agreements and coordinate stakeholder approvals.
• Maintain governance records and support board/committee matters.
• Coordinate governance activities for PAC and lobbying.
• Manage legal operations, budgets, and matter administration.
• Draft minutes for board/committee meetings.
• Collaborate with cross-functional teams on compliance initiatives.
