Job summary

Perkins Coie LLP seeks a Senior Corporate Paralegal to support a high-volume corporate and securities practice. Under minimal supervision, you will assist lawyers and clients with complex paralegal duties, maintaining client records and coordinating with internal teams across a large client base.

You will manage UCC, corporate, and statutory diligence, ensure confidentiality, and support closings for financings, mergers, and acquisitions while delivering exceptional service to clients across

Qualifications

• 7–10 years of corporate paralegal experience with public and private companies.
• Four-year degree in a related field or equivalent.
• Proficiency with EDGAR, hCue, and Workiva, plus capitalization-management platforms Carta and Shareworks.
• Exceptional organizational, analytical, and communication skills; able to work independently.
• Knowledge of California and Delaware corporate law, securities laws, and Rule 701 analysis.
• Advanced Microsoft Office skills including Excel and Adobe Acrobat; precise timekeeping.

Responsibilities

• Support public and private company securities compliance matters, including beneficial ownership, EDGAR filings, and reporting.
• Prepare, file, and maintain governance and entity-formation documents for corporations, LLCs, LPs, and LLPs.
• Conduct diligence; prepare financing statements, closing documents; manage closings for financings, mergers, and acquisitions.
• Maintain confidential client records and coordinate with lawyers, clients, vendors, and teams to manage requests and filings.
