Perkins Coie LLP in Colorado is seeking a Senior Corporate Paralegal to join our Corporate and Securities practice group. You will support high-level corporate and transactional matters under minimal supervision, assisting attorneys and clients across multiple industries.

The role requires 7–10 years of paralegal experience, a four-year degree, and proficiency with EDGAR, hCue, Workiva, Carta and Shareworks.

Qualifications

• 7–10 years of experience as a corporate paralegal for public and private companies.
• Four-year degree or equivalent.
• Proficiency with EDGAR, hCue, and Workiva; capitalization-management via Carta and Shareworks.
• Strong organizational, analytical, and communication skills; ability to work independently.
• Knowledge of California and Delaware corporate law and securities regulations.
• Advanced MS Office skills (Excel, Acrobat, redlining, timekeeping).

Responsibilities

• Support securities compliance matters including EDGAR filing, Schedule 13 and Rule 13H filings.
• Prepare and maintain governance and formation documents for corporations, LLCs, LPs, and LLPs.
• Conduct due diligence; manage closings for financings, mergers, and acquisitions.
• Maintain confidential client records and coordinate with lawyers, clients, vendors, and teams.
