Ashurst Perkins Coie US LLP is seeking a Senior Corporate Paralegal to support a high-performing Corporate and Securities practice. The role involves assisting lawyers and clients with complex corporate and transactional duties, while maintaining confidentiality and overseeing corporate maintenance for numerous clients.

Ideal candidates will have 7–10 years of corporate paralegal experience, strong knowledge of CA/DE law, and proficiency with EDGAR, Workiva, and capitalization-management

Competenze

• 7–10 years of corporate paralegal experience with public and private companies.
• Four-year degree in a related field or equivalent.
• Proficiency with EDGAR, Section 16 reporting, and related platforms.
• Experience with capitalization-management platforms (Carta, Shareworks).
• Strong organizational, analytical, and communication skills; ability to work independently.
• Knowledge of California and Delaware corporate law and securities rules.
• Advanced MS Office, including Excel and Adobe Acrobat.

Mansioni

• Support securities compliance and governance matters for public and private clients.
• Prepare, file, and maintain corporate governance and entity-formation documents for various entities.
• Conduct diligence and manage closings for financings, mergers, and acquisitions.
• Maintain confidential client records and coordinate with lawyers, clients, vendors, and teams to manage filings and service.
