Job summary

Ashurst Perkins Coie is seeking a Senior Corporate Paralegal to join our Corporate and Securities practice in Seattle. You will support high-level corporate and transactional duties, maintain confidential client records, and oversee corporate maintenance for a large number of clients across diverse industries.

You will collaborate with lawyers and clients, ensuring accuracy, efficiency, and confidentiality while contributing to successful closings and governance matters.

Qualifications

• 7–10 years of experience as a corporate paralegal with public and private companies.
• Four-year degree in a related field or equivalent.
• Proficiency with Section 16 filing platforms (EDGAR, hCue, Workiva) and capitalization-management platforms (Carta, Shareworks).
• Strong organizational, analytical, and communication skills with discretion and independence.
• Knowledge of California and Delaware corporate law and federal/state securities laws.
• Advanced MS Office skills, including Excel and Adobe Acrobat; precise timekeeping.

Responsibilities

• Support securities compliance matters and robust corporate maintenance for many clients.
• Prepare, file, and maintain governance and entity-formation documents for corporations, LLCs, LPs, and LLPs.
• Conduct diligence and manage closings for financings, mergers, and acquisitions.
• Coordinate with lawyers, clients, vendors, and teams to deliver high-quality client service.
