Job summary

Strategy Law, LLP is seeking an experienced Senior Corporate Paralegal to join our corporate and transactional practice in our San Jose office. The position offers substantive responsibility for entity management, corporate governance, and complex business transactions.

The Senior Corporate Paralegal will work directly with partners, attorneys, and clients, and will take ownership of routine corporate matters and transaction workflows.

Qualifications

• Minimum 10 years of substantive corporate paralegal experience in a law firm.
• Strong knowledge of entity formation/maintenance, governance, and private-company transactions.
• Paralegal Certificate from an accredited program is required.

Responsibilities

• Manage entity formations and reorganizations for corporations, LLCs, partnerships, and other types.
• Maintain corporate records, minute books, consents, and annual filings.
• Administer capitalization records, stock ledgers, and option plans.
• Prepare and coordinate securities filings including Form D notices.
• Assist with M&A, financing, and private-company transaction workflows.
