Strategy Law, LLP is seeking an experienced Senior Corporate Paralegal to join our corporate and transactional practice in our San Jose office. The position offers substantive responsibility for entity management, corporate governance, and complex business transactions.
The Senior Corporate Paralegal will work directly with partners, attorneys, and clients, and will take ownership of routine corporate matters and transaction workflows. This role is well suited for a paralegal who exercises sound judgment, communicates professionally, follows through consistently, and enjoys working in a collaborative boutique environment.
Key Responsibilities
- Manage entity formations and reorganizations for corporations, limited liability companies, partnerships, and other entity types, including preparation and filing of organizational documents.
- Maintain corporate records and minute books; prepare board and shareholder consents, minutes, resolutions, annual filings, and other governance documents using approved forms and attorney direction.
- Administer capitalization and equity records, including capitalization tables, stock and option ledgers, stock issuances, option grants, and stock plans.
- Prepare and coordinate federal and state securities filings, including Form D and Section 25102(f) notices.
- Assist with M&A, financing, and other private-company transaction workflows from due diligence through closing, including checklists, virtual data rooms, signature coordination, closing sets, and post-closing items.
- Track corporate, filing, and transaction deadlines and follow up proactively with attorneys, clients, and outside parties on outstanding items.
- Communicate directly with clients and coordinate with vendors.
- Conduct corporate, securities, and Blue Sky research as needed.
- Independently manage routine corporate matters, identify issues, and seek attorney input when legal analysis or additional judgment is required.
- Maintain accurate, well-organized electronic files and contribute to improvements in corporate team workflows.
Qualifications
- At least 10 years of substantive corporate paralegal experience in a law firm required.
- Strong working knowledge of entity formation and maintenance, corporate governance, private-company transactions, and federal and state securities filings.
- A Paralegal Certificate from an accredited program is required.
Professional Skills and Technology
- Excellent organization, attention to detail, prioritization, and follow-through, with the ability to manage multiple matters and deadlines independently.
- Professional written and verbal communication skills and sound judgment in interactions with clients, attorneys, colleagues, and outside parties.
- Advanced proficiency in Microsoft Word, Excel, Adobe Acrobat, and DocuSign; experience with NetDocuments and Clio is helpful.
- Comfort learning and using new legal technology, including AI-enabled workflows.
Compensation and Benefits
- $106,000 to $136,000 annually, based on relevant experience and qualifications.
